TERMS & CONDITIONS

These Terms & Conditions (“Terms”) govern your access to and use of the websites www.labsity.in, app.labsity.in, all associated subdomains, applications, software, APIs, products, and services (collectively, the “Platform”) operated by LABSITY EDTECH LLP (“Labsity”, “Company”, “we”, “our”, or “us”).

By accessing, browsing, registering for, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any other policies published by Labsity. If you do not agree to these Terms, you must not access or use the Platform.

1. Definitions

Unless the context otherwise requires:

“Platform” means all websites, applications, portals, software, APIs, learning management systems, coding platforms, employer portals, recruitment systems, assessment systems, AI tools, mobile applications, and digital services owned or operated by Labsity.

“User” means any individual or entity accessing or using the Platform.

“Student” means any individual using the Platform for learning, assessments, certifications, coding practice, projects, internships, placement assistance, or career development.

“Employer” means any company, recruiter, organization, HR representative, consultant, startup, or hiring partner using the Platform for recruitment, assessments, or talent discovery.

“Course” means any educational program, certification, workshop, bootcamp, webinar, masterclass, mentorship program, internship program, assessment, or digital learning content offered through the Platform.

“Dashboard” means the personalized user account and digital learning environment made available after successful registration or purchase.

“Digital Services” include but are not limited to recorded lectures, live classes, coding environments, assessments, downloadable resources, AI tools, career services, employer services, certifications, projects, and learning resources.

“Labsity Credits” means promotional, goodwill, or approved account credits issued by Labsity that may be redeemed for eligible products or services, subject to these Terms.

2. Acceptance of Terms

By creating an account, purchasing any course, accessing the Platform, submitting information, participating in assessments, applying for jobs, or otherwise using any Labsity service, you agree to be legally bound by these Terms.

These Terms constitute a legally binding agreement between you and Labsity.

If you do not agree with these Terms, you must immediately discontinue use of the Platform.

Your continued use of the Platform following any updates to these Terms constitutes acceptance of the revised Terms.

3. Eligibility

To use the Platform, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement under applicable law.
• All information provided by you is true, complete, and accurate.
• You will promptly update any information that becomes inaccurate.
• You will comply with all applicable laws, regulations, and institutional policies while using the Platform.

If you are below the age required to provide valid legal consent under applicable law, you may use the Platform only with the involvement and consent of a parent or legal guardian.

Labsity reserves the right to refuse registration, suspend accounts, or terminate access where eligibility requirements are not met or where false information has been provided.

4. User Accounts

4.1 Registration

Certain services require registration.

You agree to provide accurate, current, and complete information during registration and to maintain the accuracy of such information at all times.

Providing false, misleading, or fraudulent information may result in suspension or permanent termination of your account.

4.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your login credentials.
• Restricting unauthorized access to your account.
• All activities occurring under your account.

You must notify Labsity immediately if you suspect unauthorized access or a security breach.

Labsity shall not be liable for any loss resulting from unauthorized use of your account caused by your failure to protect your credentials.

4.3 Single Account Policy

Unless expressly authorized by Labsity:

• One individual may maintain only one account.
• Account sharing is prohibited.
• Multiple accounts created to gain unfair advantages may be suspended or merged.
• Accounts may not be sold, transferred, leased, or assigned to another person.

4.4 Verification

Labsity may require verification of:

• Identity
• Email address
• Mobile number
• Educational credentials
• Employment details
• Government-issued identification where required by law or for certification purposes

Failure to complete verification may limit access to certain services.

4.5 Account Suspension

Labsity may suspend or terminate any account without prior notice if it reasonably believes that the user has:

• Violated these Terms.
• Misused the Platform.
• Submitted fraudulent information.
• Engaged in cheating during assessments.
• Attempted unauthorized access.
• Infringed intellectual property rights.
• Disrupted Platform operations.
• Engaged in unlawful or abusive conduct.

Such action may include removal of content, cancellation of certifications, revocation of course access, and restriction from future use.

5. Student Services

Labsity provides educational and career-oriented digital services that may include, without limitation:

• Online courses
• Recorded video lectures
• Live classes
• Coding practice
• SQL practice
• AI-assisted learning tools
• Mock interviews
• Assessments
• Aptitude tests
• Technical challenges
• Assignments
• Projects
• Certificates
• Career guidance
• Resume building
• Portfolio development
• Internship opportunities
• Placement assistance
• Campus ambassador programs
• Community discussions
• Webinars
• Learning resources

The availability, features, duration, pricing, instructors, curriculum, assessments, and certification criteria may change from time to time at Labsity’s discretion.

Completion of any course does not guarantee employment, internship, salary, admission, promotion, or certification unless explicitly stated in writing by Labsity.

Placement assistance, interview opportunities, recruiter connections, and career support are facilitation services and shall not be interpreted as guarantees of employment.

Student Responsibilities

Students agree to:

• Use the Platform solely for lawful educational purposes.
• Submit original work.
• Refrain from plagiarism or cheating.
• Respect instructors, mentors, moderators, recruiters, and other users.
• Maintain the confidentiality of assessment materials where applicable.
• Comply with examination and assessment rules.
• Avoid sharing copyrighted course materials without authorization.
• Use AI tools responsibly and ethically.

Violation of these responsibilities may result in disciplinary action, including suspension, cancellation of certifications, removal from courses, or permanent termination of access.

6. Employer Services

Labsity may provide recruitment and hiring services that include:

• Employer registration
• Candidate search
• Resume access
• Candidate shortlisting
• Skill-based filtering
• Custom assessments
• Coding assessments
• Aptitude assessments
• Interview scheduling
• Recruitment dashboards
• Campus hiring
• Internship hiring
• Employer branding
• AI-assisted candidate recommendations

Employers are solely responsible for all hiring decisions made through the Platform.

Labsity does not verify every statement, qualification, certification, resume, or claim submitted by candidates unless expressly stated.

Employers are responsible for conducting their own due diligence before making hiring decisions.

Employer Responsibilities

Employers agree that they shall not:

• Misrepresent employment opportunities.
• Publish discriminatory or unlawful job postings.
• Collect candidate information for unauthorized purposes.
• Sell or redistribute candidate data.
• Contact candidates for purposes unrelated to recruitment.
• Use automated tools to scrape Platform data.
• Circumvent Platform features to obtain user information improperly.
• Upload malicious software or harmful content.
• Violate any applicable employment, privacy, or anti-discrimination laws.

Labsity reserves the right to remove job postings, suspend employer accounts, or terminate access where misuse is identified.

Candidate Matching

Labsity may recommend candidates using automated systems, skill matching, assessment scores, AI-powered analysis, and other evaluation methods.

Such recommendations are intended to assist employers and do not constitute endorsements, guarantees, or representations regarding a candidate’s suitability, qualifications, experience, integrity, or future performance.

Employers remain solely responsible for evaluating candidates and making all recruitment decisions.

7. Payments, Pricing & Billing

7.1 Pricing

The fees for Courses, subscriptions, assessments, certifications, employer services, recruitment services, premium features, AI services, and any other offerings are displayed on the Platform at the time of purchase.

Labsity reserves the right to revise pricing, introduce new pricing plans, discontinue existing plans, or modify promotional offers at any time without prior notice. Any such changes shall not affect purchases that have already been successfully completed unless otherwise expressly stated.

All applicable taxes, including Goods and Services Tax (GST), shall be charged where required under applicable law.

7.2 Payment Methods

Payments may be made using payment methods supported by the Platform, including but not limited to:

• UPI
• Credit Cards
• Debit Cards
• Net Banking
• Digital Wallets
• EMI (where available)
• Other payment options supported by our authorized payment partners

All payments are processed through secure third-party payment gateways. Labsity does not store your complete card details, CVV, UPI PIN, banking passwords, or similar confidential payment credentials.

7.3 Payment Confirmation

Access to paid Digital Services shall generally be granted after successful payment confirmation.

Labsity reserves the right to delay or refuse access where:

• Payment verification is pending;
• The transaction is suspected to be fraudulent;
• The payment has failed or been reversed;
• A chargeback or payment dispute has been initiated.

7.4 Promotional Offers

Labsity may, at its sole discretion, provide:

• Promotional pricing
• Scholarships
• Discount coupons
• Referral rewards
• Campus ambassador incentives
• Employer discounts
• Seasonal offers

Such offers:

• may be withdrawn at any time;
• cannot be combined unless expressly permitted;
• have no cash value;
• are subject to separate eligibility criteria.

8. Refund, Cancellation & Program Transfer Policy

8.1 Nature of Digital Services

Labsity provides digital educational services, including but not limited to:

• Learning Management System (LMS)
• Coding Platform
• Assessments
• AI-powered learning tools
• Live classes
• Recorded lectures
• Projects
• Study materials
• Practice environments
• Employer services
• Career services
• Certification programs

These services are digital in nature and are considered delivered once access to the purchased Dashboard or Digital Services has been provided.

8.2 Refund Policy

Except where required by applicable law, all payments made to Labsity are final and non-refundable.

For the purposes of these Terms, delivery shall be deemed to have occurred when any of the following takes place:

• access to the user Dashboard is granted;
• access to the LMS is enabled;
• access to the Coding Platform is activated;
• access to a Course, assessment, project, certification, AI tool, employer feature, or other Digital Service is provided.

Once such access has been provided, the purchased Digital Services shall be considered delivered, and no refund, whether full or partial, shall be available.

Refund requests shall not be entertained on grounds including, but not limited to:

• change of mind;
• lack of usage;
• dissatisfaction after access has been granted;
• failure to complete a Course;
• scheduling conflicts;
• employment outcomes;
• internship outcomes;
• examination performance;
• internet connectivity issues beyond Labsity’s control;
• device incompatibility not caused by Labsity;
• user negligence or misuse.

Nothing in this section limits any rights that cannot lawfully be excluded under applicable consumer protection laws.

8.3 Cancellation

Orders for Digital Services cannot be cancelled once Dashboard access or access to the relevant Digital Services has been granted.

Prior to activation, Labsity may, at its sole discretion, permit cancellation where technically feasible.

8.4 Program Transfer

Labsity understands that a learner’s educational goals may change. Accordingly, Labsity may permit a one-time Program Transfer, subject to all of the following conditions:

• the request is submitted within 24 hours of the original enrollment;
• the request is sent from the registered email address to support@labsity.in;
• the request clearly specifies the existing program and the requested program;
• the original purchase remains eligible under Labsity’s internal policies.

Program transfer requests submitted after the 24-hour period may be declined without further review.

Approval of a Program Transfer is solely at the discretion of Labsity.

A Program Transfer does not constitute a refund.

Where the requested program has a higher fee, the user shall pay the applicable price difference before the transfer is completed.

Where the requested program has a lower fee, Labsity may issue the difference as Labsity Credits at its discretion. No cash refund shall be provided.

Only one Program Transfer may be permitted for a purchase unless otherwise approved in writing by Labsity.

9. Labsity Credits

Labsity may issue Credits in circumstances including:

• approved Program Transfers;
• promotional campaigns;
• referral rewards;
• goodwill gestures;
• support resolutions;
• scholarship programs;
• marketing campaigns;
• employer incentives.

Labsity Credits:

• are not legal tender;
• are not redeemable for cash;
• cannot be withdrawn to any bank account;
• cannot be transferred to another person or account;
• cannot be sold or exchanged;
• may only be used for eligible products or services designated by Labsity;
• may carry validity periods and usage restrictions communicated at the time of issuance.

Labsity reserves the right to cancel, modify, or revoke Credits obtained through fraud, abuse, technical errors, or violation of these Terms.

10. Subscription Services

Certain Platform features may be offered on a subscription basis.

Subscriptions may automatically expire at the end of the applicable term unless renewed.

Labsity may modify subscription benefits, pricing, or available features for future billing periods.

Failure to renew a subscription may result in suspension of premium features while retaining the user’s account, subject to applicable retention policies.

11. Employer Billing

Employer services may include:

• subscription plans;
• recruitment packages;
• candidate database access;
• custom assessments;
• hiring campaigns;
• premium employer branding;
• AI-assisted recruitment services.

Employers agree to pay all applicable fees associated with their selected services.

Unless otherwise agreed in writing, employer service fees are non-refundable once the relevant service has been activated or made available.

12. Taxes

Users are responsible for paying all taxes, duties, levies, and government charges applicable to their purchases under applicable law.

Where required, Labsity shall collect and remit applicable taxes in accordance with Indian law.

13. Chargebacks & Payment Disputes

Users agree not to initiate fraudulent or unjustified chargebacks or payment reversals.

If a payment is reversed after Digital Services have been provided, Labsity reserves the right to:

• suspend the associated account;
• revoke access to Courses, certifications, assessments, and Digital Services;
• recover outstanding amounts through lawful means;
• deny future purchases;
• take appropriate legal action where necessary.

Users are encouraged to contact Labsity Support before initiating any payment dispute so that concerns may be reviewed and resolved where possible.

14. User Conduct

To maintain a secure, professional, and productive learning environment, every User agrees to use the Platform responsibly and in compliance with applicable laws.

Users shall not:

• Provide false, misleading, or fraudulent information.
• Create multiple accounts without authorization.
• Share, sell, rent, lease, or transfer their account credentials.
• Attempt to access another user’s account.
• Circumvent any security measures implemented by Labsity.
• Upload malware, viruses, ransomware, spyware, or any malicious code.
• Interfere with the operation, security, or performance of the Platform.
• Attempt unauthorized access to servers, databases, APIs, or infrastructure.
• Reverse engineer, decompile, or modify any part of the Platform except where expressly permitted by law.
• Copy, reproduce, record, distribute, publish, or commercially exploit any course material, assessments, coding problems, videos, documents, software, or other content without prior written permission.
• Engage in plagiarism, cheating, impersonation, or other academic misconduct.
• Use bots, automation tools, scripts, or scraping software without written authorization.
• Harass, threaten, abuse, defame, or discriminate against any user, instructor, employer, employee, or representative of Labsity.
• Upload content that is unlawful, defamatory, obscene, hateful, infringing, or otherwise objectionable.
• Use the Platform for any illegal or unauthorized purpose.

Labsity reserves the right to investigate any suspected misuse and take appropriate action, including suspension or permanent termination of access.

15. Assessments, Coding Platform & Academic Integrity

Labsity provides coding assessments, SQL assessments, aptitude tests, technical interviews, AI evaluations, and other learning activities.

Users agree that they shall not:

• Copy or distribute assessment questions.
• Share solutions publicly or privately without authorization.
• Use unauthorized assistance during monitored assessments.
• Attempt to manipulate scores or rankings.
• Exploit bugs or vulnerabilities for unfair advantage.
• Interfere with assessment integrity.

Labsity may use automated systems, plagiarism detection tools, AI-based analysis, proctoring technologies, and manual review processes to maintain assessment integrity.

Where academic misconduct is reasonably suspected, Labsity may:

• invalidate submissions;
• cancel assessment results;
• revoke certificates;
• suspend or terminate accounts;
• restrict access to future assessments.

Labsity’s determination regarding assessment integrity shall be final, subject to applicable law.

16. Artificial Intelligence (AI) Services

The Platform may provide AI-powered features including, but not limited to:

• Resume analysis
• Career recommendations
• Coding assistance
• Learning recommendations
• AI-generated explanations
• Interview preparation
• Skill analysis
• Employer recommendations
• Candidate matching

AI-generated outputs are based on automated models and may contain inaccuracies, omissions, or incomplete information.

Users acknowledge that AI-generated content is provided solely for informational and educational purposes and should not be relied upon as professional, legal, financial, medical, employment, or academic advice.

Labsity makes no representation or warranty regarding the completeness, accuracy, or suitability of AI-generated outputs.

Users remain solely responsible for verifying and evaluating AI-generated information before acting upon it.

17. Intellectual Property Rights

Unless otherwise expressly stated, all rights, title, and interest in the Platform and its contents are owned by or licensed to Labsity.

This includes, without limitation:

• Software
• Source code
• Website design
• User interface
• Branding
• Logos
• Trademarks
• Course content
• Videos
• Images
• Documents
• Assessments
• Coding problems
• SQL challenges
• Projects
• AI models
• Graphics
• Audio
• Text
• Databases
• APIs
• Learning materials

No ownership rights are transferred to Users through use of the Platform.

Users are granted a limited, non-exclusive, non-transferable, revocable license to access the Platform solely for its intended purposes in accordance with these Terms.

Any unauthorized copying, reproduction, modification, distribution, resale, commercial exploitation, public display, or derivative use of Labsity’s intellectual property is strictly prohibited and may result in legal action.

18. User-Generated Content

Users may upload content including, but not limited to:

• Resumes
• Projects
• Assignments
• Portfolios
• Code
• Discussion posts
• Profile information
• Images
• Videos
• Documents

Users retain ownership of the content they create.

By uploading content, Users grant Labsity a worldwide, non-exclusive, royalty-free, revocable (subject to technical limitations), license to host, store, process, display, reproduce, and use such content solely for the purpose of operating, improving, and providing the Platform and its services.

Users represent and warrant that:

• they own or have the necessary rights to upload the content;
• the content does not infringe the rights of any third party;
• the content complies with applicable law.

Labsity reserves the right to remove any content that violates these Terms or applicable law.

19. Third-Party Services

The Platform may integrate with third-party services including payment gateways, cloud providers, authentication providers, communication platforms, video conferencing tools, analytics providers, coding execution services, and other technology partners.

Such integrations may include, without limitation:

• payment processors;
• cloud hosting providers;
• email service providers;
• video conferencing platforms;
• authentication providers;
• code execution services;
• analytics platforms;
• communication tools.

Use of third-party services is governed by the respective terms and privacy policies of those providers.

Labsity is not responsible for:

• the availability of third-party services;
• the accuracy of third-party content;
• interruptions caused by third-party providers;
• actions or omissions of third parties.

20. Certifications

Certificates issued by Labsity acknowledge successful completion of the applicable program or assessment based on Labsity’s evaluation criteria.

A certificate:

• does not constitute a professional license;
• does not guarantee employment;
• does not guarantee admission;
• does not guarantee internship opportunities;
• does not guarantee salary outcomes.

Labsity reserves the right to revoke or invalidate certificates obtained through fraud, academic misconduct, misrepresentation, or violation of these Terms.

21. Platform Availability

While Labsity strives to maintain uninterrupted access to the Platform, continuous availability cannot be guaranteed.

The Platform may be unavailable due to:

• scheduled maintenance;
• emergency maintenance;
• software updates;
• hardware failures;
• internet disruptions;
• cyber security incidents;
• third-party service interruptions;
• events beyond Labsity’s reasonable control.

Labsity shall not be liable for temporary interruptions or delays in service availability.

22. Disclaimer of Warranties

The Platform and all services are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

Labsity does not warrant that:

• the Platform will operate without interruption;
• the Platform will be error-free;
• all defects will be corrected;
• the Platform will always be secure;
• all content will be complete or accurate;
• use of the Platform will result in employment, internships, promotions, certifications, examination success, or any specific outcome.

To the fullest extent permitted by law, Labsity disclaims all express, implied, statutory, and other warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in this section excludes any warranty that cannot lawfully be excluded under applicable law.

23. Limitation of Liability

To the fullest extent permitted by applicable law, Labsity, its directors, partners, employees, instructors, mentors, affiliates, licensors, service providers, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages arising out of or relating to the use of, or inability to use, the Platform or any services offered through it.

This limitation includes, without limitation:

• Loss of profits
• Loss of employment opportunities
• Loss of internships
• Loss of revenue
• Loss of business
• Loss of data
• Loss of goodwill
• Business interruption
• Device failure
• Software failure
• Network interruptions
• Unauthorized access by third parties
• Errors in AI-generated content
• Coding assessment outcomes
• Recruitment outcomes
• Examination performance
• Certification outcomes

Labsity does not guarantee:

• employment;
• internship placement;
• interview selection;
• admission into educational institutions;
• salary packages;
• business success;
• coding rankings;
• certification acceptance by third parties.

To the maximum extent permitted by law, Labsity’s total cumulative liability arising from any claim relating to the Platform or Services shall not exceed the amount actually paid by the User to Labsity for the specific service giving rise to the claim during the twelve (12) months immediately preceding such claim.

Nothing in these Terms limits liability where such limitation is prohibited under applicable law.

24. Indemnification

You agree to defend, indemnify, and hold harmless Labsity, its founders, directors, officers, employees, affiliates, licensors, contractors, mentors, instructors, and partners from and against any claims, demands, proceedings, damages, liabilities, judgments, penalties, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• your breach of these Terms;
• your misuse of the Platform;
• violation of applicable law;
• infringement of any intellectual property rights;
• content uploaded by you;
• fraudulent activity;
• unauthorized use of another person’s information;
• disputes between Users;
• disputes between Students and Employers.

This obligation shall survive termination of your account.

25. Suspension and Termination

Labsity reserves the right, at its sole discretion and without prior notice where appropriate, to suspend, restrict, or permanently terminate any User account if the User:

• violates these Terms;
• engages in fraudulent or unlawful conduct;
• submits false information;
• infringes intellectual property rights;
• abuses Platform features;
• compromises Platform security;
• engages in harassment or abusive conduct;
• attempts unauthorized access;
• manipulates assessments or recruitment processes;
• initiates fraudulent payment disputes or chargebacks.

Upon suspension or termination, Labsity may:

• revoke Platform access;
• remove user-generated content where appropriate;
• cancel certificates obtained through misconduct;
• suspend assessments;
• revoke employer privileges;
• block future registrations.

Termination shall not affect rights or obligations accrued before termination.

26. Force Majeure

Labsity shall not be liable for any delay, interruption, or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including but not limited to:

• natural disasters;
• floods;
• earthquakes;
• pandemics;
• epidemics;
• acts of government;
• changes in law;
• internet outages;
• cyber attacks;
• power failures;
• labor disputes;
• acts of terrorism;
• war;
• civil unrest;
• failure of third-party infrastructure or service providers.

Performance shall resume as soon as reasonably practicable after the event has ceased.

27. Changes to These Terms

Labsity reserves the right to modify, update, or replace these Terms at any time.

Updated Terms shall become effective upon publication on the Platform unless otherwise specified.

Continued use of the Platform after such publication constitutes acceptance of the revised Terms.

Users are encouraged to review these Terms periodically.

28. Electronic Communications

By using the Platform, you consent to receive communications from Labsity electronically, including by email, SMS, WhatsApp, in-app notifications, and other digital means.

Electronic communications shall satisfy any legal requirement that such communications be in writing.

29. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including, where applicable:

• The Information Technology Act, 2000;
• The Digital Personal Data Protection Act, 2023;
• The Indian Contract Act, 1872;
• The Consumer Protection Act, 2019;
• and other applicable laws as amended from time to time.

30. Dispute Resolution

The Parties shall first attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiations.

If the dispute is not resolved within thirty (30) days, it shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended.

The arbitration shall be conducted by a sole arbitrator mutually appointed by the Parties. If the Parties fail to mutually appoint an arbitrator within thirty (30) days, the appointment shall be made in accordance with the Arbitration and Conciliation Act, 1996.

The seat and venue of arbitration shall be Prayagraj, Uttar Pradesh, India, unless otherwise required by applicable law.

The proceedings shall be conducted in the English language.

Subject to the arbitration provisions above, courts having jurisdiction in Prayagraj, Uttar Pradesh, India, shall have exclusive jurisdiction over matters that are not capable of arbitration or where judicial intervention is required under applicable law.

31. Notices

All legal notices to Labsity shall be sent to:

Labsity may send notices to Users through:

• registered email address;
• in-app notifications;
• dashboard announcements;
• SMS;
• WhatsApp notifications;
• notices published on the Platform.

Such notices shall be deemed received when transmitted or published, as applicable.

32. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, the remaining provisions shall continue in full force and effect.

The invalid provision shall be deemed modified only to the extent necessary to make it enforceable while preserving its original intent as closely as possible.

33. Waiver

34. Assignment
